Terms of Service

1. Acceptance of Terms

Welcome to Circles ("FavCircles," "we," "our," or "us"). By creating an account or using our mobile application, website, or connected services (collectively, the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of the Service

Circles is a private social recommendation platform that lets you save favorite places, organize them into collections ("circles"), share them with people you know, and discover places recommended by your trusted network.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement and that any registration information you provide is accurate.

4. Your Account

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• You agree to notify us promptly of any unauthorized use of your account.
• You may delete your account at any time from within the app or via our data deletion page.

5. Your Content

You retain ownership of the content you create on the Service — your circles, saved places, notes, photos, videos, and comments ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute that content solely as needed to operate and improve the Service, consistent with the privacy level you choose (public, my network, or private).

You are solely responsible for your User Content and represent that you have the rights necessary to share it.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Post content that is abusive, harassing, defamatory, obscene, or infringes others' rights
• Impersonate any person or misrepresent your affiliation with anyone
• Attempt to gain unauthorized access to other accounts or our systems
• Scrape, harvest, or collect user data without permission
• Interfere with or disrupt the operation of the Service

We may remove content or suspend accounts that violate these rules.

7. Connected AI Assistants

You may connect your FavCircles account to third-party AI assistants (such as ChatGPT or Claude) through our secure authorization flow. When you do:

• The assistant can access and act on your FavCircles data (your profile, circles, places, and your network's shared recommendations) on your behalf, subject to the same privacy rules that apply in the app.
• You can revoke this access at any time from the assistant's settings.
• Your use of the third-party assistant is governed by that provider's own terms and privacy policy; we are not responsible for how the provider processes your data outside our Service.

8. Subscriptions and Purchases

Some features of the Service require a paid subscription, purchased through the Apple App Store. Billing, renewal, and cancellation are handled by Apple under its terms. Except where required by law, purchases are non-refundable.

9. Intellectual Property

The Service — including its design, software, logos, and branding — is owned by FavCircles and protected by intellectual property laws. Except for your User Content, nothing in these Terms grants you any right to use our intellectual property without prior written consent.

10. Third-Party Content and Services

The Service may display information from third-party sources (such as maps and place data) and link to third-party websites. We do not endorse and are not responsible for third-party content, products, or services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Recommendations on the Service reflect the opinions of the users who shared them; we make no guarantee about the quality, safety, or availability of any place or business listed.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAVCIRCLES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless FavCircles from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or where required by law. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including Sections 9, 11, 12, and 13) will survive.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and, for material changes, notify you through the app or by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in New York, New York.
